| 内容記述 | Under the principles of contract law of international standard, a contract is generally concluded at the moment when acceptance of an offer becomes effective. However, Japanese contract interpretation practice does not follow the offer-and-acceptance approach. Instead, it emphasizes comprehensive fact findings in determining whether a contract has been concluded. This article analyzes the interpretation methods that define the formation of contracts in Japanese business transactions in comparison with those of Europe, the United States, and other foreign jurisdictions, in order to clarify that Japanese business practices have been influenced by the unique Japanese concept of contract formation. Focusing on Japanese practices surrounding the contract formation process, this article newly formulates the hypothesis that Japan’s unique contract interpretation methods and basic attitude toward the use of standard terms are deeply connected to the formation of Japanese contract practices, which emphasize fairness and substance prior to contract formation and formal interpretation after the contract is formed. This study will provide a new perspective on the understanding of Japanese contract practices. | |||||
