| 内容記述 | The Department of Justice（“DOJ”）in the U.S. is preparing for the revision of the 1995 Bank Merger Guidelines. The DOJ implemented two public-comment procedures for the revision of the guidelines. One was conducted under the Trump administration in 2020, with the aim of changing the somewhat formulaic framework of the guidelines. The other was conducted under the Biden administration in 2021-2022, with the aim of realizing more robust bank merger scrutiny. This article addresses recent developments of the bank merger regulation in the U.S. by analyzing all fifty public comments submitted to the two public-comment procedures. Many public comments seem partisan, reflecting the commentators’ own political views. For instance, the evaluation of economic evidence regarding online banks or fintech companies varies significantly. Conservative views emphasize that online banks should be largely included in competitive analysis, while liberal views argue that traditional bank branches still play important roles. We need to carefully analyze the new draft guidelines which are expected to be published soon. However, we should cautiously observe the situation, because the U.S. presidential election in 2024 seems to affect continuation of the new guidelines and, furthermore, it seems unclear whether federal courts uphold application of the new guidelines. | |||||
