| 内容記述 | This essay provides comparative legal analysis on the dual agency regulation of U.S. states law and discusses the fair trade rule and conflict policy on Small Business Mergers Acquisitions and Sales Intermediaries. We first review the historical creation process of the dual agency regulation and M&A brokers’ regulation in the U.S., and discuss the mutual relationship between dual agency regulation and M&A brokers’ regulation. Then, we examine the issue of conflict-of-interest management under the dual agency regulations of U.S. state law as the main argument. Subsequently, we discuss the implications from conflict-of-interest management under U.S. state law and we use them to solve the problem of conflict-of-interest management for Small Business Mergers Acquisitions and Sales Intermediaries in Japan. | |||||||||
