| 内容記述 | In recent years, an intriguing idea has originated in the US and the UK that a shareholder, especially institutional investors, should play an active role as a regulatory mechanism in corporate governance. Japan became an early adopter of this idea, which is known as shareholder stewardship, when it introduced its stewardship code in 2014. This article compares the contextual differences between the origins of shareholder stewardship in Anglo-Saxon America and Japan in order to illustrate the true purpose of shareholder stewardship. Based on this contextual analysis, this article examines the regulatory response in different jurisdictions, and observes that shareholder stewardship, confined by these regulations, will not function in the manner its proponents anticipate. Finally, this article explores the negative narratives of shareholder stewardship by describing institutional investors as being individuals who are prone to destructive short-termism, and who remain passive in engaging with investee companies' corporate governance issues. The article concludes that further issues will inevitably occur in shareholder stewardship. | |||||||||
